Portal Terms of Use

1. Acceptance of Terms

By registering for or accessing the Cybersecurity Founders Network Command Center ("Portal"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not register or use the Portal. These Terms form a binding legal agreement between you and Cybersecurity Founders Network ("CFN," "we," "us," or "our").

2. Eligibility & Approval

Access to the Portal is by invitation or approved application only. We reserve the right to approve, deny, suspend, or revoke access at our sole discretion, at any time, for any reason, without notice or liability. Membership does not create any employment, partnership, or agency relationship between you and CFN.

3. Confidentiality & Non-Disclosure

The Portal contains confidential, proprietary, and sensitive information shared by members in confidence. By accessing the Portal, you agree to:

• Keep all information shared within the Portal strictly confidential.
• Not disclose, reproduce, distribute, or publish any member-shared content outside the Portal without the express written consent of the original author.
• Not use information obtained through the Portal to solicit, compete with, or harm any other member or their business.
• Treat all discussions, strategies, financials, and personal information shared by other members as confidential, even after your membership ends.

This confidentiality obligation survives termination of your membership indefinitely.

4. Acceptable Use

You agree not to use the Portal to:

• Post content that is unlawful, defamatory, harassing, threatening, obscene, or otherwise objectionable.
• Solicit, advertise, or promote products or services without prior written approval from CFN.
• Scrape, harvest, or systematically collect data or content from the Portal.
• Impersonate any person or entity or misrepresent your affiliation.
• Attempt to gain unauthorized access to any part of the Portal or its underlying systems.
• Share your login credentials with any third party.
• Violate any applicable law or regulation.

5. Content Ownership & License

You retain ownership of content you post. By posting, you grant CFN a non-exclusive, royalty-free, worldwide license to display and distribute your content within the Portal solely for the purpose of operating the Portal. CFN does not claim ownership of your content. You represent that you have all rights necessary to grant this license.

6. No Professional Advice

Content shared in the Portal is for informational and peer-discussion purposes only. Nothing in the Portal constitutes legal, financial, investment, tax, or professional advice. Always consult qualified professionals before making business decisions. CFN expressly disclaims any liability for reliance on information shared in the Portal.

7. Disclaimer of Warranties

THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CFN DOES NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CFN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PORTAL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL CFN'S TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless CFN and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Portal, your violation of these Terms, or your violation of any rights of another member or third party.

10. Termination

CFN may suspend or terminate your access to the Portal at any time, with or without cause, with or without notice. Upon termination, your right to access the Portal ceases immediately. Sections 3, 6, 7, 8, 9, and 11 survive termination.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted in English. You waive any right to a jury trial or to participate in a class action.

12. Privacy

By registering, you consent to CFN collecting and using your name, email address, company, and title to administer your membership and operate the Portal. We do not sell your personal information to third parties. We may share information with service providers who assist in operating the Portal, subject to confidentiality obligations.

13. Modifications

CFN reserves the right to modify these Terms at any time. We will notify members of material changes by posting an updated version in the Portal. Continued use of the Portal after changes constitutes acceptance of the revised Terms.
